Terms & Conditions
PLEASE READ THIS SOFTWARE AS A SERVICE AGREEMENT (“AGREEMENT”) CAREFULLY BEFORE USING THE SERVICES PROVIDED BY NUVEPRO TECHNOLOGIES (“LICENSOR”). THIS AGREEMENT CONSTITUTES A LEGALLY BINDING AGREEMENT BETWEEN YOU (“LICENSEE”/ “CUSTOMER”) AND THE LICENSOR.
By requesting an authorized user account creation, accessing, browsing, or otherwise using the Nuvepro software or services, the Licensee acknowledges that they have read, understood, and agree to be bound by this Agreement. If the Licensee does not agree with any of the terms and conditions outlined herein, they should not access or use the Platform.
The terms “We” and “Us” refer to Nuvepro Technologies, headquartered in Bangalore, India. Licensor and Licensee are individually referred to as “party” and collectively as “parties.”
Definitions
- “Platform” refers to the Nuvepro platform, including all associated software, websites, and services.
- “User” refers to the individual or entity authorized to use the Platform.
- “Services” refers to all features, functionalities, and content provided by Nuvepro, including hands-on labs, simulations, and learning environments.
- “Content” refers to any information, data, text, software, music, sound, photographs, graphics, video, messages, or other materials available through the Platform.
Acceptance of Terms
By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with any applicable laws and regulations. If you do not agree with these Terms, you must not use the Platform.
Modifications to Terms
Nuvepro reserves the right to update or modify these Terms at any time without prior notice. Any changes will be effective immediately upon posting on the Platform. Continued use of the Platform after such changes constitute your consent to the modified Terms.
Account Registration and Use
To access certain features of the Platform, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain and promptly update your account information.
- Keep your login credentials confidential and secure.
- Be responsible for all activities that occur under your account.
Nuvepro reserves the right to suspend or terminate your account if any information provided during the registration process or thereafter proves to be inaccurate, not current, or incomplete.
Subscription and Payment Terms
Access to certain services on the Platform may require a subscription. You agree to pay all fees associated with the chosen subscription plan, as specified on the Platform. All subscription fees are non-refundable unless otherwise specified in this Agreement or as required by applicable law.
Nuvepro may modify subscription fees at any time, but such modifications will be communicated to you in advance and will only apply to subsequent subscription periods.
License Grant
Nuvepro grants you a non-exclusive, non-transferable, limited license to access and use the Platform solely for your internal business purposes, in accordance with these Terms. You shall not:
- Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Platform.
- Reverse engineer, decompile, or disassemble any software code used in the Platform.
Intellectual Property Rights
All intellectual property rights, including copyrights, trademarks, patents, and trade secrets, in the Platform and its content are owned by Nuvepro or its licensors. Unauthorized use of any materials or content on the Platform may violate intellectual property laws.
You agree not to use any trademarks, service marks, logos, or any other proprietary information without prior written consent from Nuvepro.
Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of using the Platform. Neither party will use or disclose such confidential information without the prior written consent of the other party, except as required by law.
Termination
Nuvepro may terminate or suspend your access to the Platform at any time, with or without cause, and without prior notice. Upon termination, your right to use the Platform will immediately cease, and you must destroy any downloaded or printed materials obtained from the Platform.
Termination of this Agreement does not affect any accrued rights or liabilities of either party, nor does it affect any provision of this Agreement that is intended to survive termination.
Limitation of Liability
To the fullest extent permitted by applicable law, Nuvepro shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Platform;
- Any unauthorized access to or use of our servers and/or any personal information stored therein;
- Any interruption or cessation of transmission to or from the Platform.
Indemnification
You agree to indemnify and hold harmless Nuvepro, its affiliates, officers, agents, and employees from any claim, demand, damages, or losses, including reasonable attorneys’ fees, arising out of or in connection with your use of the Platform, your breach of these Terms, or your violation of any rights of another.
Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes arising from this Agreement shall be resolved exclusively in the courts of Bangalore, India.
Force Majeure
Nuvepro shall not be liable for any delay or failure in performance due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, strikes, or shortages of materials or transportation.
Entire Agreement
These Terms, together with any additional terms to which you agree when using particular elements of the Platform, constitute the entire agreement between you and Nuvepro regarding the use of the Platform. If any provision of these Terms is found to be invalid, the remaining provisions shall remain in full force and effect.
